Terms

Plain terms for a small site. Last updated 15 September 2026.

Who we are, and what these terms are

vcspine is operated by SparkIntell Inc., a Texas corporation, doing business as vcspine. Our registered address is on file with the Texas Secretary of State. You can reach us at hello@vcspine.com.

These terms are a contract between you and SparkIntell Inc. You accept them when you tick the box that says so — when you request an API key, subscribe to the feed, or start a paid plan. If you are accepting on behalf of a company, you are telling us you have the authority to bind it. If you do not agree, do not tick the box and do not use the API or a paid plan. Reading the public pages does not require agreeing to anything.

You must be at least 18 to hold an API key or a paid plan.

What this is

vcspine publishes information compiled from Form D filings made with the U.S. Securities and Exchange Commission, together with figures and signals we compute from them.

The source, and what we claim

Form D filings are public records in the public domain, and we claim no rights in them. What we do claim is the compilation — the resolution of filings into firms, the classification of vehicles, the corrections, and the computed signals. Those are ours.

You may read, quote and cite anything on this site, with or without a plan, and we would rather you linked to the underlying filing than to us.

What you may not do, unless you have a written redistribution agreement with us:

A paid plan is a licence to use the data inside your own firm, for your own work. It is personal to the account holder or the subscribing company and cannot be transferred or shared outside it.

Redistribution

Putting our compiled data inside a product, dataset or service of your own needs a written redistribution agreement with us, which sets out the scope, attribution, and what happens to the data when it ends. Where that agreement and these terms differ, that agreement wins for its signatories.

Using the API

Free keys are rate limited and intended for looking up firms and checking our data against yours. Do not attempt to evade the limits, do not use multiple free keys to assemble what a paid plan sells, and do not share a key. We may withdraw a key that is being used that way, and we will tell you why.

Keys are secrets. Anything done with your key is treated as done by you. If you think a key has leaked, tell us and we will issue another.

Paid plans

One paid plan is open: the Morning seat, at the price on the pricing page. This section applies to you only if you buy it.

Plans are billed monthly in advance, in U.S. dollars, by card through Stripe. Prices exclude sales tax; where we are required to collect it, it is added at checkout and shown before you pay. Stripe's own terms and privacy policy apply to the card transaction; we never see your full card number.

Your plan renews automatically at the end of each month until you cancel. There is no minimum term and no cancellation fee. You can cancel at any time from the billing link in your receipt email, or by writing to us, and we will stop billing at the end of the month you have already paid for. We do not give prorated refunds for a partial month, except where we end your plan without cause, in which case we refund the unused part.

If we raise a price, existing subscribers keep the old price for at least ninety days, and we will email you before it changes. If we retire a plan, we will give you at least thirty days' notice and refund anything prepaid beyond the end date.

Taxes are added where the law requires it.

Corrections

If something on this site does not match the filed record — a name, a date, an amount, which firm a vehicle belongs to — write to us and we will correct it to match the filing, whether or not you pay us. Corrections are applied by hand and kept.

We correct to the record. We do not remove or alter a signal because a firm would prefer it were different; a signal describes what has and has not been filed.

No warranty, and not advice

Form D is self-reported and unaudited. Where a filing is wrong, this site is wrong in the same way. We take care, we publish our limits on the definitions and limits page, and we correct errors when we learn of them.

THE SITE, THE DATA, THE API AND THE FEED ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Nothing here is investment, legal, tax or accounting advice. We are not a broker, a dealer, an adviser or a fiduciary. A statement that a firm has or has not filed something is not a statement about that firm's solvency, prospects, or conduct. Decisions you make using this data are yours.

Limits on our liability

TO THE FULLEST EXTENT THE LAW ALLOWS, SPARKINTELL INC. AND ITS OFFICERS, EMPLOYEES AND CONTRACTORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFIT, REVENUE, DATA, BUSINESS OR GOODWILL, ARISING OUT OF OR CONNECTED WITH THE SITE, THE DATA OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS TOGETHER IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU PAID US NOTHING.

Some jurisdictions do not allow some of these limits. Where that is the case, they apply as far as the law allows. Nothing in these terms limits liability for fraud, or for anything the law says cannot be limited.

Your responsibility to us

If someone brings a claim against us because of something you did with the data — redistributing it in breach of these terms, or making a decision, statement or product based on it — you will cover our reasonable costs of dealing with that claim, including legal fees.

Ending things

You can stop using the site at any time, cancel a plan from the billing link in your receipt email or by writing to us, and ask us to delete everything we hold about you (see Privacy).

We can suspend or end your API key or plan if you break these terms, if we reasonably believe your use is harming the service or other users, or if the law requires it. We will tell you why unless the law prevents us. If we end a plan for a reason other than your breach, we refund the unused part of the month.

When a plan ends, your right to use the data under it ends too. You must stop using data you obtained under the plan in any ongoing way, other than reading and citing it as anyone may. The limitation of liability, the corrections policy, and this section survive.

Changes

We may change these terms. Material changes will be noted here with a new date, and we will email account holders at least fourteen days before a material change takes effect. We will not apply a change retroactively to a period you have already paid for. If you keep using the API or a plan after a change takes effect, you accept it.

Where disputes go

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the site will be brought only in the state or federal courts located in Tarrant County, Texas, and you and we each agree to the personal jurisdiction of those courts.

Before either of us files anything, we agree to write to the other describing the problem and give thirty days to sort it out. Most things get fixed that way.

Small print

These terms, the Privacy page, and (where one exists) a redistribution agreement are the whole agreement between us about the site. If any part of these terms is held unenforceable, the rest stands. If we do not enforce something once, we have not given it up. You may not assign these terms without our written consent; we may assign them to a successor to the business.
